Title: Director, Senior Counsel, Legal Department Swap Dealer

This critical role contributes to the overall success of the Legal Department in globally ensuring specific individual goals, plans, initiatives are executed / delivered in support of the teams business strategies and objectives. Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.

Is this role right for you?:

* Champion a customer focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge
* .
* Provide guidance and direction to business lines and corporate and control groups with respect to CFTC and SEC Swap Dealer regulations.

* Support various groups in connection with the Banks CFTC Swap Dealer remediation project.

* Serve as U.S. Legal representative on CFTC and SEC swap dealer working groups.

* Advise on swap dealer counterparty and transaction and related questions raised by business lines, including regarding legal, credit or operational issues arising in the trading documents or with respect to specific transaction terms

* Counsel regarding implementation of compliance and governance program to satisfy new SEC security-based swap dealer rules,
* Provide legal support in connection with CFTC and SEC swaps-based regulatory exams and investigations,

* Review and provide advice on proposed new products, including potential legal, regulatory and reputational risks.

* Coordinate closely with both the U.S. and the Head Office Legal Department colleagues to help ensure proper application of extraterritorial U.S. rules and regulations in other jurisdictions.

* Maintain an awareness of and monitor the regulatory environment for emerging legislation and policy statements, along with relevant trends and industry best practices applicable to Scotiabank, including through participation in industry associations, contact with regulators, and liaison with counsel and auditors.

* As needed, provide support to U.S. business lines and contribute to projects requiring the U.S. Legal Departments involvement.

* Assist in drafting various policies and procedures, as well as employee training, relating to swap dealer matters.

* Understand how the Banks risk appetite and risk culture should be considered in day-to-day activities and decisions.

Do you have the skills that will enable you to succeed in this role? - We'd love to work with you if:

* U.S. Licensed Attorney
* Minimum of 7 years of legal experience working on bank regulatory matters at a major investment bank and/or large law firm.
* Understanding of SEC and CFTC Swap Dealer Rules,
* Knowledgeable about derivative product, business conduct requirements and swap execution facilities
* Knowledgeable of U.S. securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934, and working knowledge of applicable SEC, FINRA other broker-dealer regulations.
* Capable of completing work independently
* Excellent communication, organizational and presentation skills.
* Highly responsive with a strong sense of urgency and multi-tasking skills.
* Excellent time management skills ability to handle multiple internal clients and projects.
