Business Overview:

The mission of the CIB Legal Department of North America is to provide comprehensive, effective and efficient legal support to the CIB businesses. In this capacity, in matters concerning primarily US laws, we provide legal advice to our clients, prepare and review legal documentation, and select and supervise outside counsel

Responsibilities: 

Legal counsel for Debt Capital Markets and Equity Capital Markets (part of the global Securities Platform).        Execute large volume of DCM/ECM transactions. The new hire will be part of the Securities Platform and is expected to spend approximately 80% of her/his time for DCM and 20% for ECM.        
Advise the business, management, risk control teams and the relevant committees of BNP Paribas on legal issues relating to securities offerings (securities laws, SEC reporting obligations, underwriting agreements, comfort letters, opinions, due diligence, etc.).
Liaise with Syndicate, Risk and Compliance colleagues, based in NY and internationally. 
Instruct, supervise and maintain relationships with external lawyers.
Monitor industry and market practices through organizations, such as FINRA and ABA.
Provide legal support and advice to other areas or business lines and geographies where the need arises or in respect of special projects from time to time.  Includes working with international colleagues on cross-border transactions, and ability to explain U.S. securities laws.

Minimum Required Qualifications:

US Law Degree (JD) 
Member of the New York Bar
At least 3+ years of top tier U.S. law firm and/or U.S. corporate legal department experience, advising on capital markets transactions

The expected starting salary range for this position is between $185,000 to $240,000 annually. The actual salary may vary based upon several factors including, but not limited to, relevant skills/experience, time in role, base salary of internal peers, prior performance, business line, and geographic/office location.
