Job Summary: Associate Principal Counsel – Corporate Governance

This position will be part of the transformational team that will help achieve the department’s strategic goals to serve our growing international company.

This position currently reports to: the Vice President, Governance Counsel and Assistant Secretary

Skills/Experience:

Five years of significant legal experience, with a minimum of three years relevant corporate experience preferred (Securities, Governance, Corporate Finance, M&A)
Strong corporate governance and subsidiary management knowledge and experience, including domestic and international entity maintenance
Management or supervisory experience in an in-house legal or law firm environment
Public company and/or subsidiary board governance, including preparation and maintenance of board agendas and calendars and coordination of board meetings and materials
Entity management systems (CSC, Diligent Entities, GEMS or similar)
Electronic board portals (Boardvantage, Diligent or similar)
Electronic document filing and maintenance
Development and implementation of corporate procedures and policies

Duties:

Oversight and management of all aspects of domestic subsidiary governance and entity maintenance, including preparation of internal legal documentation and supervision of state and local filings relating to legal entity formations, foreign qualifications, dissolutions, name changes, conversions, mergers and fictitious business names
Draft and review corporate documents, including governing documents, resolutions, consents, secretary and officer certificates and minutes
Provide guidance and counsel to internal stakeholders (Tax, Controllership, Treasury, etc.) on governance matters and legal entity compliance
Collaborate with domestic and international legal partners on internal restructurings and intercompany transactions
Research industry best practices and assist in the development and implementation of corporate subsidiary governance policies, processes and procedures
Oversight of corporate minute books and records and responsibility for creating, updating and maintaining forms and consents

Here’s what you will need to be successful in this role:

Law degree from an accredited law school
Admission and good standing status in a state Bar Association with willingness and qualification to be Authorized In-House Counsel.
In-house and/or law firm corporate transactional, governance or finance experience
Sharp written and verbal communication skills
Team-oriented and collaborative approach
Ability to multi-task and prioritize deadlines/deliverables
“EQ” skills to build bridges, forge alliances and encourage people to want to work with you to foster cross-department collaboration
Able to work independently with minimal oversight
A calm head and steady hand to deal with the unexpected
Some flexibility in your schedule – we value work/life balance, but in a pinch, a bit more time is needed
Very strong organizational skills and extreme attention to detail
A highly professional demeanor, positive outlook and a can-do attitude.

It would be great if you also had these skills/experiences:

Experience working in a large national law firm or in-house at a Fortune 100 company
Strong knowledge of California and Delaware corporate law and experience working with international legal teams
Experience with budgeting and legal billing, and matter management software (Legal Tracker)
