POSITION TITLE
Corporate Governance Paralegal & Board Operations Assistant

LOCATION
Raleigh, NC

YOUR ROLE
Reporting to the Deputy Corporate Secretary & Securities Counsel, the Corporate Governance Paralegal & Board Operations Assistant is part of the Corporate Secretary team. This individual will assist in supporting the day-to-day management of the corporate secretary and securities law functions of Genworth Mortgage Insurance U.S. as it transitions from a wholly owned subsidiary to a public company. The successful candidate will demonstrate a high level of integrity, a customer service-oriented attitude, have excellent communication and organizational skills, be a self-starter and a strong commitment to detail.

YOUR RESPONSIBILITIES
Corporate Governance
Assist with corporate governance activities, including maintenance of books and records for the Corporate Secretarial function; drafting corporate governance documents, such as agendas, resolutions, consents, minutes and notices of meetings; assisting with the distribution of meeting materials through a third-party board portal; and coordinating meeting logistics
Prepare drafts of notices, recurring memos, creation of board books, preparing execution copies and annotated agendas for pre-Board and Board and Committee meetings
Management of post-meetings follow-ups, including shell minutes
Assist in drafting and maintaining workplans, charters, and calendars for board and committee governance and compliance with Best Practices
Assist with annual stockholder meeting, including stockholder communication; coordination of annual meeting; notebook creation; initial drafting of minutes; and updating investor site
Assist with corporate filings, including Exchange Act reports (10-Q, 10-K, 8-K), proxy statements, and Section 16 filings (Form 3s and 4s)
Assist with onboarding of new Section 16 directors and officers
Assist with facilitation of board member education, surveys and D&O questionnaire coordination
Update/Maintain Genworth Investor website, Board Portal and intranet site with updated corporate governance policies
Manage and communication concerning trade windows
Assist with auditor minutes reviews
Assist with corporate transactions, as necessary, including coordinating document review, updating data rooms, etc.
Maintain minutes and files for Disclosure Committee and subcommittees
Manage D&O changes on internal and external websites and systems
Perform legal and documentary research
Assist with legal entity management
Assist with transfer agent matters, including with respect to reconciliation of shares outstanding and shareholder requests
Board Operations
Provide administrative support tasks for the Board and Corporate Secretary, including support Board member travel, expense reimbursement, and scheduling needs
Support records management needs
Execute mailings
Arrange logistics for Board and Committee meetings, events and calls, including booking meeting spaces, facilitating video calls, arranging meals, ensuring technical needs are met, etc.
Calendar management
Provide back up for the General Counsels Administrative Assistant, as needed

YOUR QUALIFICATIONS
Paralegal certificate or Bachelors degree
Minimum 5 years of public company experience supporting the Board, the Corporate Secretary and assisting with SEC and exchange (NYSE/Nasdaq) filings and records

Experience with an electronic board portal, such as Diligent or BoardVantage
Self-starter who can work with minimal supervision
Excellent written, oral, and interpersonal communication skills
Strong commitment to client service
Superior organizational skills and detail-oriented
Demonstrated ability to take initiative and take responsibility
Ability to manage time effectively, juggling multiple tasks, occasionally under time pressure
Proficient in Microsoft Office, especially Outlook and PowerPoint

ADDITIONAL QUALIFICATIONS
In-house experience in a corporate secretarys office of a public company
Notary certification
Insurance industry experience preferred
