Who we are looking for
State Street is seeking an attorney with 1 to 6 years experience in corporate law to join a busy corporate legal team. The role will provide support in the areas of corporate governance and disclosure, executive compensation, employee benefits and employment law. Prior public company experience desired. Candidate may be based in Boston and report to the Boston office, or work remotely from home in an alternate approved U.S. location (elsewhere in Massachusetts or Charlotte, North Carolina preferred).

What you will be responsible for
As Associate Counsel you will
* Assist with corporate governance and corporate secretarial responsibilities, including drafting board resolutions and meeting minutes;
* Draft proxy statement disclosure;
* Liaise with external service providers, including external legal counsel, to ensure compliance with local laws and regulations in U.S. and non-U.S, jurisdictions;
* Research peer company governance, compensation practices, or disclosure;
* Review and update employee benefit and compensation plan documents, amendments and other related documentation;
* Support the design, implementation, and administration of compensation plans and processes;
* Advise on ERISA, fiduciary duty, vendor management and other issues related to qualified retirement plans, supplemental retirement plans, and health and welfare plans;
* Draft and negotiate of template and individual offer letters, employment agreements, separation agreements, and restrictive covenants;
* Respond to demand letters and proceedings in state and federal courts and agencies;
* Support internal investigations concerning conduct matters and employee claims;
* Assist with corporate citizenship initiatives; and
* Provide support to senior attorneys on related project work.

Education & Preferred Qualifications
* J.D. from an accredited U.S. law school;
* Admitted to practice in good standing in at least one U.S. jurisdiction;
* 1 to 6 years experience in corporate law practice required; experience with corporate governance, employment, compensation or benefits law desirable
Additional requirements
* Able to participate in video conferences and, if based outside of the Boston area, occasionally travel to the Boston office for key meetings.
