We do impactful and interesting work, support each other, and have fun.?  To grow our team, we are looking for an experienced and highly skilled corporate securities and transactional lawyer to join the SEC Reporting and Corporate Governance Team within Seagate’s Legal Team.  Seagate’s SEC Reporting and Corporate Governance Team handles SEC reporting and securities matters, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K, proxy statements, reporting for Section 16 officers, and company reporting under Irish law.

In addition, our team handles a variety of other securities and corporate law matters, including compliance with NASDAQ listing rules, SOX 302 certification, securities trading policies, 10b5-1 trading plans, Regulation FD, and other securities law compliance processes.  We handle equity-related matters, debt financings, treasury transactions, external communications compliance, corporate governance, and support for the board of directors and shareholder meetings.  We advise on executive compensation, benefits, and stock administration.  We work closely with finance, treasury, tax, accounting, investor relations, and other teams across the company, as well as company executives, to ensure compliance with legal requirements and align with business goals.  

About the role - you will:

For this role, we are looking for a lawyer who has about 8 to 12+ years of experience in the areas of SEC reporting, securities law, corporate governance, and capital markets transactions.  We will consider candidates with relevant in-house legal experience at public companies and strong law firm attorneys for this position. Experience working as a people manager would be very valuable for this role.

Advise on corporate finance and securities law matters, including preparing SEC filings such as Forms 10-K, 10-Q, 8-K and S-8, Proxy Statements, and Section 16 reports. 
Assist with the preparation and planning for the annual meeting of shareholders. 
Work with internal teams to draft and review earnings releases, press releases, and shareholder and investor communications, particularly for compliance with applicable securities laws. 
Monitor and analyze regulatory developments and best practices in the securities and corporate governance arenas and drive change and education within the company. 
Advise on equity, executive compensation, and stock administration matters. 
Support capital markets transactions including debt offerings, credit agreements, and other treasury?related matters. 
Provide advice and counsel on general corporate and corporate governance matters. 
Manage and lead teams of lawyers, paralegals and other professionals, with the ability to attract, develop and retain talent and help us grow the best team.

Your experience includes:

Substantive experience (8 – 12+ years) with SEC reporting (’33 and ’34 Act) and securities laws, preferably from a combination of top tier law firms and public company in-house work.  
Deep knowledge of corporate law, corporate governance standards and trends. 
Capital markets experience. 
Familiarity with equity compensation plans and executive compensation. 
Experience as a people manager. 
Bar admission in good standing.
