The Role at a Glance

This position will perform and deliver on regular assignments and projects for their assigned area. They will prepare regulatory filings including annual and periodic state insurance regulatory filings and act as corporate secretary for subsidiary entities.

What you'll be doing:

Maintains knowledge on current and emerging developments/trends for assigned area(s) of responsibility, assesses the impact, and collaborates with management to incorporate new trends and developments in current and future solutions.
Promotes and enhances organizational initiatives by positively influencing and supporting change management and/or departmental/enterprise initiatives within assigned area(s) of responsibility.
Performs and delivers on routine assignments/projects while simultaneously leveraging and applying knowledge of their assigned area(s) of responsibility.
Identifies and communicates to management process improvements that reduce workloads or improve quality for their assigned area(s) of responsibility.
Prepares and submits regulatory filings, including annual and periodic state insurance regulatory filings for insurance subsidiaries.
Maintains updates and organizes insurance company intercompany agreements, corporate governance documents, exhibits, and other contracts.
Researches, evaluates and reports on routine regulatory matters related insurance regulatory filings and other required state filings for insurance and reinsurance subsidiaries.
Facilitates execution of routine quarterly and annual process for insurance and reinsurance subsidiary entities.
Prepares and submits various state filings (e.g., certificates of incorporation, formation, foreign qualification, merger, conversion, dissolution and withdrawal and name changes).

Additional Responsibilities:

Serves as a point of contact for questions (from both internal clients & external regulators); conducts research, responds to and/or reports on less complex regulatory filing matters related to annual and periodic state insurance regulatory filings.
Provides responses to internal stakeholders on various insurance company regulatory filings, including annual statements and other interim filings.
Collaborates with appropriate stakeholders to obtain necessary information for tracking new laws, regulations & industry developments on insurance company corporate regulatory filings & communicates developments & new procedures to internal stakeholders.
Serves as corporate secretary for several subsidiary entities; sets agendas and prepares materials for a number of subsidiary entities; attends board and shareholder meetings and prepares minutes for such meetings.
Prepares drafts of board and shareholder resolutions, meeting minutes, officer certificates, bylaws and other corporate governance documents in compliance with applicable law for a public company.
Tracks and monitors regulatory filings to ensure deadlines are met.
Participates in projects for their assigned area(s).
Provides effective and open communication with internal/external stakeholders to ensure transparency and consistency of regulatory filings.
Prepares, updates and/or files applicable reports, forms, and/or contracts for their assigned area(s) of responsibility.

What we're looking for:

4 Year/Bachelor's degree or equivalent work experience (4 years of experience in lieu of Bachelor's) (Minimum Required)
1 - 3+ Years of experience in a Company Secretary and/or Legal Support role that directly aligns with the specific responsibilities for this position.
