DISH Network is seeking a paralegal to support the M&A, Securities and Corporate Governance Team in the legal department. This role will report to a managing member of the team in DISH’s Legal Department and will work closely with all members of the team.
Primary responsibilities fall into the following categories:
Assist attorneys with review and preparation of various legal documents; catalog, file and organize legal documents.
Assist with closing duties (e.g., collecting, filing and circulating documents for review and signature); perform due diligence and research, prepare related reports.
Assist in the management and execution of various corporate-related aspects of transactions and conducting legal research on various corporate law issues.
Preparing meeting materials and minutes, preparing and managing corporate governance and related policies, monitoring and reporting on external governance trends and best practices.
Assist with the management of legal entities and the Company's legal structure, including organizing and dissolving entities and providing ongoing compliance with legal requirements and best practices.
Assist with the Company's SEC filings and earnings releases.
Assist in other substantive legal areas as needed.
Work with members of Legal leadership, attorneys and staff on departmental matters.

A successful Paralegal – M&A, Securities and Corporate Governance will have the following:
Bachelor’s Degree from four-year college or university, and 3-5 years of related experience and/or training; or equivalent combination of education and experience
Prior experience in contracts, contract administration and/or database management (preferred but not required); paralegal certification and experience with contract management systems (preferred but not required).
Demonstration of excellent written and oral communications skills is required, along with demonstration of a high level of proficiency with MS Office suite (Word, Excel, and Outlook).
Experience in Diligent Entity Management or CSC Entity Management Software (preferred but not required).
Experience with public company entity management and entity compliance (preferred but not required)
The ability to adapt quickly and take charge of a complex and dynamic office environment; strong organizational skills.
Experience in large corporate legal environments, and specific experience with telecommunications, technology and/or other focused areas (preferred but not required).
