Overview

The objective of the Senior Paralegal Securities and Corporate Governance is responsible for supporting the Hanesbrands Legal Department in the practice of securities and corporate governance.

Responsibilities

* Maintain Section 16 officer and director stock ownership records;
* Prepare and submit Section 16 filings;
* Assist Deputy General Counsel with preparation and filing of various SEC and NYSE reports;
* Assist Deputy General Counsel and Corporate Attorney with secretarial functions for subsidiaries, including the maintenance of records, resolutions and minutes;
* Coordinate signatures, notarizations and legalization of various legal documents;
* Prepare power of attorneys, secretarys certificates and incumbency certificates;
* Assist Corporate Attorney with maintenance of GEMS Corporate Governance database;
* Manage and maintain corporate entity organizational charts, records and ensure data integrity of all information pertaining to subsidiaries;
* Assist the Deputy General Counsel with corporate transactions and strategic initiatives, including the preparation, review, organization and execution of deal documentation in connection with mergers and acquisitions, corporate financings or other initiatives;
* Assist attorneys in the implementation of policies and procedures relating to corporate governance;
* Draft and proofread various legal documents; and
* Respond to general requests from other departments as necessary.

Qualifications

* At least three years of significant experience in corporate governance, entity management and securities matters with an in-house corporate law department and/or as a paralegal in a law firm managing such a network for its clients
* Ability to interact with individuals at all levels of the corporate structure and prioritize and handle numerous competing demands in a high-volume, fast-paced working environment, frequently under tight deadlines
* Excellent drafting and proofreading skills
* Ability to work independently and to organize, multi-task and timely accomplish projects
* Bachelors degree preferred
* Paralegal certification required and notary certification a plus
