Your contribution at AIG
As an Associate Counsel, you will work closely with the Associate General Counsel on transactional items, meaningful legal research projects, contractual arrangements, and governance issues to help balance the needs of multiple stakeholders, making sound decisions using data, analysis, experience, and judgment, along with a risk mindset. Ultimately, you take ownership for key outcomes.
The primary role will be to advise and assist on corporate governance, transactional and regulatory matters involving GIs approximately 50 U.S.-domiciled subsidiaries (insurance companies, holding companies and service companies). This position will report to the Associate General Counsel CGTG, GI. This position will:
* Advise generally on U.S. corporate law, insurance law and regulatory matters.
* Advise on strategic finance initiatives and transactions.
* Communicate and coordinate significant transactions with all relevant AIG stakeholders.
* Review, draft, and negotiate various transactional documents and agreements in support of GI intercompany, capital and strategic transactions.
* Draft memoranda and advisory opinions; review and advise on corporate governance policies, procedures and guidelines; assist with quarterly board meetings, including minute-taking, and with a wide variety of projects and matters in support of the GI corporate governance function.
* Work closely with AIG attorneys around the world to address complex and varied legal, regulatory and compliance matters related to corporate governance, finance initiatives, banking and other matters supported by CGTG.
* Draft board consents, resolutions and supporting memoranda for directors approval.
* Perform other related duties and ad hoc projects as required.
What we are looking for
* Minimum of 2 years of related legal experience.
* Generalist background with exposure to corporate transactional work; regulatory compliance and insurance experience a plus.
* Excellent written and oral communications skills.
* Strong organizational and project management skills.
* Demonstrated ability to manage multiple projects and assignments in a fast-paced environment with a strong focus on teamwork.
* Demonstrated ability to work collaboratively with peers and internal clients across a global organization as well as independently (including remotely).
* JD required; admission to a US state bar.
Ideally, the candidate will be based in the NYC area. However, remote candidates may be considered.
