JOB OVERVIEW:
Represent HSI and its subsidiaries in a broad array of corporate legal matters. Provide high-quality, responsible and efficient legal advice and counsel to the Companys respective business units. Identify, analyze and assist in developing legal solutions for many diverse and complex business and legal issues.
KEY RESPONSIBILITIES:
Draft, review and help negotiate a wide variety of commercial agreements (including confidentiality, distribution and customer agreements).
Assist in advising and representing the Company in domestic and international M & A transactions, including facilitating the due diligence process and assisting in drafting, reviewing and negotiating acquisition or divestiture agreements.
Assist in advising and representing the Company in respect of certain federal securities law analysis (Securities Act and Securities Exchange Act), including preparation and review of related public filings and other reporting requirements.
Draft, review and help negotiate various technology agreements including software and data license agreements, cloud services agreements and professional services agreements
Review sales, marketing and promotional materials for legal compliance
Assist in advising on data security and privacy related matters
Provide general counsel, guidance and support to various business units regarding day-to-day legal matters, existing commercial arrangements, special projects and new business initiatives.
Facilitate various corporate governance matters and intellectual property management and maintenance matters
Direct, monitor and supervise outside corporate counsel
Assist in developing legal forms, templates, guidelines and resource materials for legal department
SCOPE:
Typically direct a large complex section of a department or a complex department with significant scope and financial and operational impact. Role may focus on executing a large and very complex/complicated process. Accountable for performance, results and staffing. Make recommendations for the objectives, policies and plans of the sub-function(s). Fully accountable for meeting the strategic, and operating objectives of the sub-function(s). Develop proposed budgets for approval and manage budget once approved. Operate with substantial latitude for un-reviewed action or decision. Often plays a role in high-level projects that have an impact on the companys future direction.
COMPLEXITY:
Work on complex, numerous and unique issues where analysis of situations or data requires in-depth knowledge of the company and an evaluation of intangibles. Knowledge of all areas within sub-function(s) derived from experience in non-management and middle-management roles allowing for innovative concepts and promoting new ideas within the function.
STRATEGY:
Participate in establishing the strategic direction to ensure alignment with overall Company strategy and initiatives. Focus may be on the execution of a large and/or complex processes. Translate and guide team to implement strategy.
SUPERVISION:
Determine methods and procedures on complex assignments and work collaboratively with business unit clients (but primarily independently from other attorneys). Work reviewed mostly through consultation and agreement with others rather than formal review from a supervising attorney. Employee is expected to exercise appropriate judgment to determine when to involve others in the Legal Department for consultation or review.
INTERACTION:
Regularly interact with executives and/or major customers/stakeholders. Ability to negotiate with customers or management and influence senior level leaders regarding matters of significance. Build personal networks to achieve mutually beneficial solutions.
Qualification WORK EXPERIENCE:
This position requires a minimum of 4-8 years of law firm or in-house experience post bar admission.
PREFERRED EDUCATION:
This position requires a Juris Doctor degree and the candidate must be a member in good standing in the New York State Bar.
