Wholesale Banking provides financial solutions to businesses across the United States and globally. Our four major business lines include Corporate & Investment Banking, Commercial Banking, Commercial Real Estate, and Wells Fargo Commercial Capital. We also have groups in credit risk, group risk, finance, marketing, human relations, and the Wholesale Chief Operating Office that support our businesses.
Wells Fargo Commercial Capital (WFCC) helps customers (middle-market businesses to large corporations) succeed financially by financing growth, businesses in transition, specialized lending and investments, and facilitating access to different forms of capital. WFCC delivers secured lending solutions, investment capital, trust services, and deep domain and industry experience. WFCC includes Distribution Finance, Corporate Trust Services (CTS), Wells Fargo Capital Finance (WFCF), Wells Fargo Equipment Finance (WFEF), Specialty Finance, Strategic Capital, and Renewable Energy and Environmental Finance.
Wells Fargo Capital Finance (WFCF) is one of the top lead arrangers of asset-based loans in the U.S. with a large and diversified portfolio of close to 2,400 customers and more than $33 billion in loans outstanding. WFCF offers traditional asset-based financing, specialized senior secured financing, accounts receivable financing, purchase order financing, and supply chain financing to a wide range of companies throughout the United States, Canada and the United Kingdom.
Responsible for assisting in the underwriting and closing of a variety of ABL transactions and assisting in prospect review and analysis, as described below:
* Analyze and understand the prospective clients historical and projected financial statements, cash flows, liquidity, relevant valuation metrics and drivers of enterprise value.
* Coordinate the due diligence process, including the coordination and analysis of third part due diligence (audits, appraisals QoEs, background investigation reports, etc.).
* Identify key deal strengths and weaknesses (with associated mitgants); and complete in-depth diligence on critical focus areas.
* Actively participate in meetings with the prospective clients management team. Use meetings as an opportunity to assess the quality and strength of the management team, and to develop a deeper understanding of the borrowers business and industry. Effectively communicate key takeaways from the meeting to Credit and senior management. Develop and maintain a positive relationship with clients throughout the underwriting process.
* Complete a comprehensive, high quality, Approval Memo. Present underwritten transactions to Credit and senior management in a clear and concise manner with well-reasoned support.
* Negotiate with prospects management (or financial sponsor) to structure and document the approved transaction.
* Identify critical transactional and structural risks for WFCF and propose situation appropriate structuring alternatives which best protect WFCFs interest; make sure critical issues are elevated to manager and/or senior Underwriter.
* Review all pertinent documentation to ensure the transaction approved by Credit is appropriately documented and critical deviations have been approved prior to execution of loan documents. Complete comprehensive Funding Coordinator Memo.
* Manage the expectations of the prospect throughout the loan closing process through frequent communication and provide regular updates of transaction status to relevant parties (internal and external).
* Timely and accurately complete all internal compliance requirements when due (LL, HRB, CPE/UMV/OTE identification and coding (TPR), IAR, BQR, KYC/BSA/AML (Cornerstone)).
* Schedule pre-funding audits (if applicable) and coordinate the initial funding with Treasury/Ops sufficiently in advance of the estimated closing date to ensure no delays occur.
* Oversee seamless onboarding of new client; coordinate the Portfolio Management introduction and take-over.
* Assist on PAC Memos, prospect analysis and special projects as requested by Manager.
* Complete all required compliance and regulatory training within prescribed timelines and due dates; satisfactory results from RAR and other internal reviews.
