The Role

Position Purpose

The Senior Commercial Representative Surface Land position is an individual contributor role that requires a comprehensive understanding of surface land related projects, activities and agreements, including surveying and construction related activities associated with oil and gas production operations. In addition, the position requires a broad commercial acumen, contract drafting & negotiation, inter-personal communication skills and strong leadership attributes in support of Shells business objectives within the Permian Asset. The successful candidate would be on a multi-year career path to becoming a senior commercial leader within the Surface Land team. The position is located at Midland, Texas and reports to the Surface Land Operations Manager.

This position resides in the Permian Land and Contracts function and will be accountable for the following:

* Work collaboratively across functional boundaries within Shell, including external engagement with commercial partners, mineral and surface owners and state agencies.
* Engagement with Land and Contracts management as well as Technical Asset Managers to understand and act on business priorities, risks (including mitigation measures), and opportunities.
* Review newly acquired oil and gas mineral leases, surface agreements and associated legal instruments to ensure the purchase of valid agreements & contracts and to identify contractual rights & obligations.
* Establish and maintain accurate oil and gas contract records within a variety of IT systems to ensure the continued validity of agreements & contracts, along with compliance of contract terms.
* Review agreements & contracts and collaborate with Lease Administration to advise Operations what is required to maintain the agreements & contracts.
* Prepare title reports as needed.
* Assist in property divestiture and acquisition projects by managing due diligence from both sides of a transaction.
* Take a leadership role in mentoring and coaching less tenured Land and Contracts staff and support more senior Land and Contracts staff.
* Contribute to cross functional complex commercial initiatives and projects.

Dimensions

The primary purpose of the position is to support the delivery of surface use/access agreements, while working collaboratively across functional boundaries, including engagement with field development planning, engineering, and technical teams, as well as engagements with key internal stakeholders (engineering, construction, operations, development) and external stakeholders (mineral, and surface owners). This position will require advanced contract competencies, skills in working with diverse commercial agreements and transactions of varying degrees of complexity; specific experience drafting and negotiating right-of-ways, surface use agreement, and damage settlements is expected. The position will require engagement with Land and Contracts Management, Technical Managers and Team Leads and Construction/Operations/Logistics focal points to communicate, understand, and act on business priorities, risks (including impacts and mitigation measures), and opportunities. This position may be called upon to represent the surface and mineral teams in the Integrated Activity Plan processes.

This role will be accountable for the following activities:

* Representing the Surface Land Team in meetings, including but not limited to the weekly IAP and P&T meetings;
* Interfacing directly with Engineering, Construction, Operations, Logistics, and Technical Team Leads/Focal Points for coordinating surface access lead time activities required to deliver development and production objectives, namely pad and infrastructure delivery.
* Coordinating and leading field brokers in the delivery of surface acquisition, title, and curative activities;
* Preparation, negotiation and reviewing Rights-Of-Way Agreements; Damage Settlement Agreements; Water Access Agreements; Pipeline Crossing Agreements; Crop Damage Settlement Agreements; Road Use Agreements, and Oil and Gas leases;
* Providing advice and recommendations to the Surface Land Operations Manager on potential new business opportunities and delivery of the business plan.
* Managing relationships with key external local stakeholders (Royalty, Surface and Mineral Owners).
* Tracking, Reporting, and Administration of surface access agreements, along with their corresponding metrics.
* Negotiating and preparing legal documents and contracts to record the terms and conditions of upstream land and contract agreements.
* Preparing for internal reviews of commercial agreements by finance, legal, tax, and other business functions.
* Supporting the evaluation of and framing of EP opportunities and due diligence efforts in the acquisition and divestiture of EP assets.
* Maintain effective competitive intelligence due diligence identification/reporting capabilities within Permian Asset.
* Support cost governance, oversight and control of in-house contractors and field brokers.
* Strict compliance with Shells 12 Life Saving Rules, Conduct of Conduct, and Global Business Principles;
* Mentoring and Coaching less experienced Land staff.
* Managing extensive volume of surface use agreements, including set-up into our land systems.

Skills & Requirements

What we need from you -

* Must have legal authorization to work in the US on a full-time basis for anyone other than current employer.
* Bachelors Degree related to Petroleum Land Management or Energy Management/ Commerce, with a Law Degree is strongly preferred. Business, Marketing, Finance or MBA may also be considered.
* At least eight (8) years of commercial experience and comprehensive understanding of contract drafting and negotiations pertaining to surface related projects, activities and agreements, including surveying and construction related activities associated with oil and gas production operations.
* This position will require the applicant to have advanced computer skills, must be systems technical, and able to work with Land System like Quorum, QLS, QLA, Freedom and financial IT systems
* A requirement of negotiations and practical day-to-day hands-on experience regarding lease acquisition, exploration, development agreements and projects, title curative, surface use activities,
* Has title curative/abstract experience, contract drafting and interpretation, cross functional integrated work ethic, potential for leadership and ability to manage internal and external stakeholders.
