Job Description

The incumbent is responsible for the preparation, review, and audit of loan documentation requests from the Private Banking Secured and Structured Lending Divisions. Required is an understanding of all elements of a credit transaction to ensure compliance with Risk approval and policies, internal legal guidelines, and all government regulations and guidelines. An incumbent in this position is responsible for providing legal reviews of client-provided documentation such as trust documentation, wills, and entity/formation documents as it relates to loan requests. Transactions supported by this function can range from $500,000 to over $100 million. This position is responsible for the most complicated lending transactions and must recognize the need to create or modify loan documents to meet the credit approval terms. The position requires working closely with internal legal counsel often reviewing and researching documents with recommendations to counsel to resolve issues arising from unusual entity structures or incomplete entity documentation. S/He may also interface with external counsel to assist in the customization of the bank's loan templates, including articulating required terms. In addition to the Lending Division staff, s/he interfaces with the business development officers in 7 regions throughout the U.S., internal legal counsel, Loan Administration, Treasury Shared Service areas, other areas such as Portfolio Management and Letters of Credit. Position may involve participation in projects, training of staff/non-staff members, updating procedures and standard loan templates, and management reporting. This position acts as a secondary point of contact and assists team leader as needed.

Qualifications

A BA/BS degree, paralegal certification, or a high school diploma and a minimum of 2-4 years of experience in the financial or legal industry are preferred. Also required are strong written and verbal communication skills; the ability to assess, articulate, and translate credit requests as they relate to the documentation and administration of a loan portfolio; and, be the ability to effectively schedule tasks in order to meet required deadlines. Proficient PC skills including Microsoft Office and the ability to learn and use various internal systems are critical.
