CORE RESPONSIBILITIES AND TASKS

This position is responsible for effectively handling assigned legal activities for the law departments corporate administrative team. This position will involve tasks and responsibilities generally performed by lawyers in law firms and corporate legal departments including but not limited to the following:

1. Environmental, Health, Safety and Regulatory Matters
1. Acquire and maintain knowledge of company systems, tools and processes and procedures relevant to environmental, health, safety and regulatory matters.
2. Collaborate with corporate departments in the collection, preparation and filing of documents and correspondence for environmental, health, safety and regulatory matters.
3. Assist attorneys in gathering pertinent facts, information and documents necessary to evaluate potential liability, compliance and other issues related to environmental, health, safety and regulatory matters.
4. Assist and or respond to requests for information and other correspondence from government and regulatory agencies.
5. Participate in superfund PRP group calls as needed and manage company involvement at such sites.
6. Interview individuals as needed to understand facts necessary to render legal advice and substantiate legal support for recommendations.

2. Corporate Finance, Securities and Corporate Governance Matters
1. Acquire and maintain knowledge of company systems, tools and processes and procedures relevant to corporate finance, securities, and corporate governance matters.
2. Collaborate with corporate departments in the collection and preparation of documents and related correspondence for corporate finance, securities and corporate governance matters.
3. Assist with the review of corporate finance and commercial agreements and assist with closings of commercial and financing transactions.
4. Assist in the preparation of filings with the SEC, NYSE and other securities agencies, including, 8-Ks, 10-Qs, 10-Ks, proxy statements, annual reports, registration statements and filings and other documents in connection with the Companys Section 16 compliance program.
5. Assist attorneys with research and in gathering pertinent facts, information and documents necessary to evaluate compliance and other issues related to securities and corporate governance matters.

3. Additional Matters
1. From time to time this position may require work related to benefits, labor and employment, immigration, privacy, and or other subject matters for which the corporate administrative team is responsible.

POSITION REQUIREMENTS

1. FORMAL EDUCATION:
1. Required:
* Juris Doctor
* License to practice law in Ohio

2. KNOWLEDGE & EXPERIENCE:
1. Required: 0-3 years of experience in a law firm, government agency and/or corporate legal department.
2. Experience advising on a range of issues including but not limited to environmental health, safety and regulatory, securities and other corporate matters.

3. Preferred:
* Excellent academic credentials

3. TECHNICAL/SKILL REQUIREMENTS:
1. Required:
* Familiarity with word processing, spreadsheet, telecommunications, database, presentation, legal research and other software applications.

The Sherwin-Williams Company develops, manufactures, distributes, and sells paints, coatings, and related products to professional, industrial, commercial, and retail customers. It operates in three segments: The Americas Group, Consumer Brands Group, and Performance Coatings Group. The Americas Group segment offers architectural paints and coatings, and protective and marine products, as well as OEM product finishes and related products for architectural and industrial paint contractors and do-it-yourself homeowners.

The Consumer Brands Group segment provides branded and private-label architectural paints, stains, varnishes, industrial products, wood finishes products, wood preservatives, applicators, corrosion inhibitors, aerosols, caulks, and adhesives to retailers and distributors.
