Basic Function

Based in Houston, Texas and reporting to the Director, Mergers and Acquisitions (M&A), the Sr. Manager, Mergers & Acquisitions will manage the companys activities in corporate transactions. This will include development and execution of specific plans for acquisitions of target companies or divestitures of current operations, determining the best approach for contact of targets or prospective buyers, and pursuing targets through relationship building, working directly with business owners and/or senior executives. He/she work with closely with the Strategic Planning & Transactions leaders as well as Business leaders and cross functional teams to identify target acquisition opportunities, drive the transaction, manage the deal team, and assist in conducting negotiations with third parties through to closing.

This leader will be supported by a team of business analysts to drive various M&A and other strategic transactions that the Company may be involved in.
Roles & Responsibilities

General

* Direct the execution of engagement letters, confidentiality agreements, offer memoranda, MOUs/LOIs, and definitive agreements.
* Evaluate the merits and risks of strategic investments, acquisitions, divestitures and partnerships.
* Assist in negotiations as LYBs representative accountable for delivery of the final transaction within the parameters established by executive management
* Assist in developing recommendations to executives on business structures, business plans, and projected financial returns of projects.
* Coordinate evaluation of the business portfolio, assessing existing business performance and new market development, including adjacent and new verticals and geographic expansions.
* Partner with cross-functional teams through engagement, negotiation and close of transactions. Liaise with operational teams to help facilitate successful deal execution, including managing various functional work streams.
* Prepare executive level communications on M&A project pipeline, individual project summaries including transaction competitive landscape and critical transaction issues, alternative evaluations, strategic fit and business case.
* Assist in developing best practices and continuous improvement of processes within the function.

Area of Expertise, Requirements

* Experience managing M&A deal processes through the deal execution lifecycle
* Superior skills in financial and quantitative analysis, use of Excel and PowerPoint and keen attention to detail
* Excellent verbal, written, and presentation skills.
* Excellent analytical, research, organizational, and project management skills
* Demonstrated leadership and influencing skills
* Has exceptional problem-solving skills and sound judgment
* Chemicals/broader process industries experience preferred

Qualifications

Education

* Bachelor of Science, Chemical Engineering preferred
* MBA preferred

Work Experience

* Minimum of eight (8) years of total experience
* Minimum of five (5) years of relevant M&A experience required (including corporate development, private equity, and/or investment banking)
* Demonstrated experience building financial models used in corporate transactions/investment banking required
* International experience preferred
