Contract Lifecycle Manager

The Contract Lifecycle Manager (CLM) manages the Contract Lifecycle Management process. The CM coordinates the creation, packaging, routing, and execution of contracts and assists with the development and documentation requirements for the contracting process.

The position requires the CLM to review drafts on a broad range of commercial contracts to ensure contracts are in compliance with legal, regulatory and organization policies. The job holder will monitor the contracting process to ensure compliance with the organization's contractual guidelines, satisfaction of customer specifications and adherence to organization policy. The CLM determines the proper contracting format and selects appropriate templates to address the specific business needs and ensures appropriate approvals are obtained. The CLM acts as a contract liaison between the organization's various stakeholders and provides assistance when contract changes are desired.

Job Responsibilities

Responsible for driving contract lifecycle processes and procedure across the region and ensuring adherence thereto.

Provides general guidance to business stakeholders regarding contract lifecycle process.

Assists in creation of contracts, including working with stakeholders to determine the appropriate contracting format and appropriate template (where available) based on the particular needs.

Manages edits and changes to contracts through the contract lifecycle process.

Administers contracts through the contract lifecycle including creating contracts, routing contracts for review and approval, and obtaining appropriate approvals and signatures.

Responsible for actively reviewing and ensuring that current policies / procedures are aligned with and updated according to regulatory requirements.

Acts as Key business partner to Procurement and business units and liaison between Legal, Procurement, and the Business Units to ensure that legal and commercial needs are addressed in the contracting process.

Ensures development and maintenance of contract templates and terms and manages the CLM tool library to ensure updated templates are available in the CLM tool library.

Provides consulting assistance to business teams during contract negotiations as required (within the limits of authority delegated by the Legal Department).

Provides input into the development of operational process improvements to support AGCO contract life-cycle activities.

Works to capture hidden contracts that should be processed through CLM.

Ensures CLM process remains compliant with applicable regulations and company policies and guidelines.

Secures and stores fully executed agreements in CLM.

Provides input for the development of training material related to CLM and CLM processes.

Provides CLM tool guidance and training to stakeholders.

Monitors contract lifecycle work flows and provide status and monitors service levels and other performance metrics.

Assists internal stakeholders in understanding contract clauses and changes.

Minimum Qualifications

Bachelor's degree or equivalent in an associated discipline.

Five (5+) years of experience in contract management and strategic sourcing.

Extensive knowledge of legal contractual terms and conditions.

Experience working in a legal environment and purchasing environment

Key Performance Indicators

Skilled in the use of MS Word, Excel, etc.

High level of experience in wide range of contracts, Master Agreements, Framework Agreements, SOWs and Service Contracts, experience with IT and software agreements preferred.

Knowledge of finance and payment processes of large company.

Knowledge of SAP/Ariba is desirable.

Knowledge of international contracts is desirable.

Knowledge of standard terms and conditions used in the trade.

Strong interpersonal and professional communication skills, both written and verbal.

Substantial experience negotiating, reviewing, editing, and interpreting a wide variety of contractual agreements.

Strong understanding of agreement hierarchy: Master, SOW and Standalone

Ability to provide meaningful input into contracting strategy.

Able to effectively interact with business units regarding legal terms of contracts and business terms, when necessary.

Performs other duties as assigned.

Ability to identify potential risks and determine mitigation strategies and contractual clauses to address such risks in light of commercial needs.
