Senior Counsel, M&A and Commercial

Job Description

We have a newly created position for a Senior Counsel, M&A and Commercial attorney to join our Commercial Legal team. This role will be an advisor to Etsy’s business development  and will provide transactional legal support to our growing global business. We are at an exciting stage of growth, and the strategic transactional, commercial  legal work will be key to our success!

You will be hitting the ground running, answering questions, tackling uncharted problems, and partnering with business teams.You have spent time advising on a wide variety of domestic and international mergers, acquisitions, divestitures, joint ventures, investments and similar transactions, as well as handling other general corporate legal matters.  You’ll be expected to spot issues and be encouraged to problem solve on projects. You should understand and be passionate about our business and mission as a global marketplace for creative entrepreneurs.

The position is located in Brooklyn, NY (there is the possibility for remote candidates with willingness to travel to Brooklyn as necessary). This position reports to the VP, AGC Commercial.

About the Role:

Work with every Etsy business unit, across our offices worldwide, to provide timely and business-savvy legal advice.

Support Etsy’s growth by delivering legal and business know-how with a great work ethic!

Work closely and coordinate with a company’s business development team, tax and accounting teams, divisional business teams and specialist lawyers in connection with the review, analysis, implementation and execution of potential M&A activity, partnerships and other transactions

Lead and coordinate due diligence reviews and preparation of related memoranda; as well as managing outside legal advisors on M&A, transactional and related regulatory matters

Post-closing integrations

Reviewing, drafting and negotiating a wide range of US & international commercial agreements (especially experience negotiating indemnities, limitations of liability, intellectual property rights, software services agreements, etc)

Identifying, understanding, and managing international legal and regulatory risks related to our business.

Excellent judgment- You know when to say “no”, “yes” or “maybe, but...” and when to bring other team members along.

Qualifications

Juris Doctorate that is admitted to a state bar (preferably NY or CA) and are qualified to work in-house in New York.

7+ years proven experience working in a mix of law firm, governmental and in-house work.

Experience working in the tech space.

Experience working across a variety of global transactional matters.

Significant M&A experience is a must.

Experienced with a portfolio of technology, operational and commercial agreements, and have developed deep-knowledge in some areas.

Experience  drafting, reviewing and negotiating transactional documents, such as stock and asset purchase/sale agreements, merger agreements, joint venture agreements, referral agreements, partnership/LLC/shareholder agreements, investment agreements, framework agreements, inter-company agreements, confidentiality agreements, transition services agreements, side letters, engagement letters, letters of intent, bid letters and term sheets

Fluid understanding of M&A case law, securities laws, antitrust and regulatory considerations, and other applicable statutory laws and regulations

Due Diligence reviews and preparation of related memoranda; as well as managing outside legal advisors on transactional and related regulatory matters.

Experience being the primary point of contact with clients, and taking the lead in managing the legal side of a project

Experienced at getting the most from the internal teams you work with, others in legal, and outside counsel, through clear communication and effective project management

Skilled at identifying, understanding, and managing international legal and regulatory risks related to our business.

Effective communicator both verbally and in writing. You can speak to technical specialists or business leaders.

Passionate about clearly articulating risk and strategies to mitigate risk to clients and executives

Outstanding organizational skills, attention to detail and work ethic.

Excellent business, negotiation and presentation skills.

You can read a spreadsheet, and build a deck, analyze and communicate the information into effective messaging to others.
